Payments are processed through secure third-party payment processors. By providing payment information, you:
- Authorize us to charge the specified payment method
- Represent that you are authorized to use the payment method
- Agree to pay all applicable fees and taxes
- Agree that we may store your payment information for future transactions
4.3 Subscriptions and Renewals
Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You will be charged the then-current subscription fee.
4.4 Refund Policy
We offer a 30-day money-back guarantee from the date of purchase. To request a refund:
- Contact us within 30 days of your purchase
- Provide your order number and reason for the refund request
- Refunds are processed within 7-10 business days
Refunds are not available for courses completed beyond 50% or certificates already issued.
4.5 Cancellation
You may cancel your subscription at any time. Cancellations take effect at the end of the current billing period. You will continue to have access to your subscription until the end of the billing period for which you have paid.
5. Course Content and Intellectual Property

All content on our platform, including but not limited to courses, videos, text, graphics, logos, images, audio, software, and data compilations (collectively, "Content"), is owned by or licensed to Evolve AI Institute and is protected by copyright, trademark, patent, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Content for personal, non-commercial educational purposes. You may not:

We expect all learners to maintain the highest standards of academic integrity. This includes:

- Not using unauthorized aids during quizzes or exams
- Reporting any violations of academic integrity you observe
Violations of academic integrity may result in zero credit for the assignment, course failure, or account termination.
7. Certificates and Credentials
Upon successful completion of certain courses, you may receive a certificate of completion. Please note:
- Certificates are digital documents issued upon meeting course requirements
- Certificates verify course completion but are not accredited degrees or professional certifications
- We reserve the right to revoke certificates issued based on fraudulent activity or academic integrity violations
- Certificates remain your property and may be shared with employers or educational institutions
- We may verify certificate authenticity upon request from third parties

We do not warrant that:

- Any errors in the Services will be corrected
9.2 Limitation of Liability
LIMITATION: TO THE FULLEST EXTENT PERMITTED BY LAW, Evolve AI Institute SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE SERVICES.
Our total liability to you for all claims arising from or related to the Services shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or $100, whichever is greater.
9.3 Career and Educational Outcomes
We make no guarantees about:
- Employment or career advancement opportunities
- Salary increases or promotions
- Acceptance into educational programs
- Professional certification or licensure
- The applicability of course content to your specific situation
Course outcomes depend on many factors including your effort, prior knowledge, and external circumstances beyond our control.
10. Indemnification
You agree to indemnify, defend, and hold harmless Evolve AI Institute, its officers, directors, employees, agents, licensors, and suppliers from and against all claims, losses, liabilities, expenses, damages, and costs, including reasonable attorneys' fees, arising from or relating to:
- Your use of the Services
- Your violation of these Terms
- Your violation of any rights of another party
- Your User Content
- Your conduct in connection with the Services
11. Dispute Resolution and Arbitration
11.1 Informal Resolution
Before filing a claim, you agree to contact us at tim@evolveaiinstitute.com to resolve the dispute informally. We will attempt to resolve the dispute within 30 days.
11.2 Binding Arbitration
If we cannot resolve the dispute informally, any controversy or claim arising out of or relating to these Terms or the Services shall be settled by binding arbitration in accordance with the commercial arbitration rules of the American Arbitration Association (AAA).
The arbitration shall be conducted in Harris County, Texas, United States, and judgment on the arbitration award may be entered in any court having jurisdiction. This clause shall not preclude parties from seeking provisional remedies in aid of arbitration from a court of competent jurisdiction.
11.3 Class Action Waiver
You agree that any arbitration or proceeding shall be limited to the dispute between us and you individually. You waive any right to participate in a class-action lawsuit or class-wide arbitration.
12. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions.
Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Harris County, Texas, and you irrevocably consent to the personal jurisdiction and venue there.
13. Modifications to Terms
We reserve the right to modify these Terms at any time. When we make changes:
- We will update the "Last Updated" date at the top of these Terms
- We will notify you via email or through the Services for material changes
- Changes become effective immediately upon posting for new users
- For existing users, changes become effective 30 days after posting

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Evolve AI Institute regarding the Services and supersede all prior agreements and understandings.
15.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, that provision shall be enforced to the maximum extent permissible, and the other provisions shall remain in full force and effect.
15.3 Waiver
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of Evolve AI Institute.

You may not assign or transfer these Terms or your rights hereunder, in whole or in part, without our prior written consent. We may assign these Terms at any time without notice or consent.

We shall not be liable for any failure to perform our obligations where such failure results from any cause beyond our reasonable control, including but not limited to mechanical, electronic, or communications failure or degradation, natural disasters, war, terrorism, riots, or labor disputes.
15.6 Headings
The headings and captions used in these Terms are for convenience only and shall not affect the interpretation of these Terms.
15.7 Language
These Terms may be translated into other languages for your convenience. In the event of any conflict between the English version and a translated version, the English version shall prevail.
